11.2 As part of iTradeNetwork`s security measures, iTradeNetwork assigns the customer one or more user IDs, passwords (limited to a unique identifier and password per authorized user) and/or security authentication measures that allow customers and authorized users to access and/or use the website and/or the solution. The customer assumes responsibility for the use of all user identifiers, passwords and/or security authentication measures by authorized users and limits the disclosure and payment of these identifiers, passwords and/or security authentication measures to customer staff as required. The customer must take all reasonable steps to protect himself from the theft, loss or fraudulent use of these identifiers, passwords and/or security authentication measures. Customers should immediately notify iTradeNetwork of any suspected theft, loss or fraudulent use of these customer-user identifiers, passwords and/or security authentication measures. The customer undertakes from time to time to follow the appropriate procedures set out by iTradeNetwork with respect to obtaining and updating customer-user identifiers, passwords and security authentication measures for the site, iTradeNetwork Solution and/or iTradeNetwork Services. Customer user IDs, passwords and/or security authentication measures are subject to iTradeNetwork deletion or suspension in the event of abuse by the customer or authorized user, and the reissue or reactivation of customer user IDs, passwords and/or security authentication measures that are thus cancelled are subject to standard iTradeNetwork rates. Any party may denounce the agreement immediately after notification to the other party if the other party: (a) substantially violates this agreement and does not resolve this violation within 30 days of the other party receiving notification of the infringement; (b) substantially violate this agreement in a way that cannot be corrected; (c) initiate bankruptcy or liquidation proceedings, have appointed a liquidator for a substantial portion of its assets, or cease to carry out its normal activities. All fees are charged in advance in accordance with the terms and conditions of these charges. If the applicable sales contract does not set conditions for an applicable tax, these taxes are billed monthly after the end of the month in which they were created. All fees set on any invoice issued by Cartegraph under this Agreement are payable and payable by the Customer within 30 days of the date of the bill in U.S. funds immediately available.
If the customer has not made the payment within 30 days of the billing date, the customer is late. Customer failure is a sufficient reason for Cartegraph to suspend the customer`s access to solutions or services after informing the customer. All taxes are not refundable as soon as they have been paid to Cartegraph (including in the event of termination or suspension of this contract). Pending a full payment, all outstanding amounts will cover an additional fee of less than 11.2% per month or the maximum amount allowed by current legislation. If Cartegraph requires the use of collection agencies, lawyers or courts for forfeiture on the client`s account, the client is responsible for these costs. The customer is responsible for all uses, sales and other taxes levied on services provided under this contract. You are responsible for keeping your account, billing and other account information permissions up to date. If you purchased directly from Dell, you will have to pay at maturity the amounts indicated in the appropriate description of the solution or any other agreement between you and Dell.
If you have purchased from a dealer, you must pay at maturity the amounts specified in the corresponding agreement between you and the dealer. Some solutions may include features designed to collaborate with third-party products or cloud partner services. If the third-party services of cloud management products or services partners in each other`s
